Final Salary Increase in the 2003-2009 Agreement between UHPA and the UH-BOR

NOTE:  A 9-month faculty members’ duty period is from August to May and they are paid over 12 months.  Their annual salary is divided by twelve months, so the last payment would be met in July.

June 2008 Board Notes


Darrell Lim, CPA, of Darrell Lim and Company, reviewed with
Directors the audit report for UHPA’s fiscal year that ended on August
31, 2007.  Directors unanimously passed a motion to receive the audit report as presented by Darrell Lim and to thank the firm of Darrell Lim and Company for their thoroughness.



UHPA Treasurer Ming-Bao Yue reported that the union has gone
through eight months of the fiscal period and UHPA is in good financial
standing.  Directors unanimously passed a motion to receive the April 30, 2008 financial report.



Director Duane Stevens, former Chair of the UHPA Finance Committee, presented the proposed budget for fiscal year 2008-2009.  He explained the changes being proposed and answered questions raised by Directors.  Directors passed an amendment to change the title of one of the listings under 6.b. on page 5 to “Lobbyist Contract”.  After review of the proposed budget, Directors unanimously passed the motion to approve the FY08-09 budget as amended.

with Radcliffe and Associates that would provide lobbying services by
John Radcliffe for up to the amount provided in the budget


Directors reviewed the proposed Charter for UHPA’s Executive Committee.  Earlier
it had been suggested that the Board’s web folder include a functional
calendar to allow time to evaluate and consider contracts that were
coming up for renewal.  Directors unanimously passed a motion to
amend the Charter by including under “Key Responsibilities and Tasks”
that the Executive Committee shall keep an annual agenda (calendar) as
to what items need to be brought to the attention of the Board of
Directors for action in a timely fashion
.  After review and discussion, Directors unanimously passed the motion to adopt the Executive Committee Charter as amended.



Since there is no requirement how many
meetings the Board of Directors must have during the fiscal year and
that the Executive Committee is authorized to exercise the powers of
the Board of Directors between regularly scheduled meetings, the number
of Board meetings was reduced from eleven to seven.  Instead
of meeting just prior to the scheduled Board meetings, the Executive
Committee will have their meetings on alternating months.  It was requested to include the Faculty Forum dates on the Board’s meeting schedule.  Directors passed the motion to adopt the proposed 2008-2009 Schedule of Meetings for the UHPA Board of Directors.  UHPA’s website will be updated to include the scheduled meetings for 2008-2009.



Directors unanimously passed the motion to appoint Belinda Aquino
(UH-Manoa) as the Faculty Representative for Primary Academic Unit 107,
representing faculty members in the School of Pacific and Asian Studies
.  Her term takes effect immediately and will expire on May 31, 2010.



UHPA received seven applications for the 20th
Annual Hawaii Great Teachers (HGT) Seminar, which is scheduled for
August 10-15, 2008 at the Volcano National Park on the Island of Hawaii.  The
Executive Committee reviewed all applications, considering their merit,
strengths, what they could bring back, and any additional information
provided.  Since the Board of Directors’ motion approved
up to $4,000 for this seminar, the Executive Committee felt four
individuals would be selected with each allotted up to $1,000.  Directors passed the motion to approve up to $1,000 for individuals Patsy Iwasaki (UH-Hilo), Denise Luker (UH-Hilo/Hawaii CC), René Sadae (Kapiolani CC), and Nel Venzon, Jr. (CRDG, UH-Manoa).  (NOTE:  UHPA
was recently notified that Denise Luker will be receiving a scholarship
from Hawaii CC to attend the HGT Seminar; therefore, the Executive
Committee has approved up to $1,000 to Jaime Crozier Garcia of Leeward CC to attend the HGT Seminar.)



Directors unanimously confirmed the motion passed during executive session to appeal the tenure denial case of a UH-Manoa faculty member to a Hearing Officer.



Directors were informed that reports would now be in written form and placed on the Board of Directors’ website folder.  Only Directors are able to view these reports.



  • UH-Manoa Director Robert Paull was the recipient of the 2008 Excellence in Research Award by the College of Tropical Agriculture and Human Resources.  Dr. Paull chairs the Department of Tropical Plant and Soil Sciences and has been with the University of Hawaii for thirty years.

SB2263 Is Law With an Override of the Governor’s Veto

SB 2263 provides that proposed exempt administrator salaries and all documents regarding expenditures and changes to expenditures made by the Board of Regents are to be available six days previous to the BOR meeting. This concludes two years of extensive UHPA lobbying. 

This law ensures that salaries of all UH employees, not just faculty and certain administrators, are publicly disclosed and there is a right for public comment on those employees that receive the highest pay in the state. This is a significant step toward making the University of Hawaii disclose the rationale for administrator salaries and increases.

Negotiations Update

AAUP Tax Alert: “UH Payroll Delay or Deferred Compensation?”

A few individuals have called UHPA concerning an article that appeared in a publication of the AAUP.  The article warned that if nine-month employees chose to have their salaries paid out over 12 months they may be incurring a tax liability by deferring salary from one year to the next.  Although faculty members on nine-month appointments do receive their salaries over 12 months they have no choice since this is required by the State of Hawaii (the Employer).  The Employer actually gains an advantage by delaying the salary owed to the nine-month appointment.  These faculty members are paid their salary for work that they provide from August to the following May.  If an individual would terminate his or her employment with UH at the end of the duty period (around May 15), they would still be receiving a check from the State of Hawaii through July.  Again, these faculty have not chosen to have this salary deferred but the State of Hawaii has imposed a payroll lag on these individuals.  Over the years, UHPA has made proposals that would pay the full salary to nine-month employees between August and May; however, the State Department of Accounting and General Services (DAGS) have not been interested in changing the annual payout, in part because the employee’s health insurance premiums are uniformly deducted over the 12-month period.

May 2008 Board Notes


The actions taken at the Annual Membership meeting were reported to the Board of Directors.  As of April 24, 2008, there were 3,064 active UHPA members.  The quorum requirement is 10% or 306 active UHPA members.  The results of the vote taken to repeal UHPA’s Constitution as announced at the Annual Membership meeting:  419 or 89.7% in favor of the repeal; 48 or 10.3% against the repeal.  A total of 467 valid ballots were received.  The Constitution was declared repealed.

The results of the vote on the Resolutions to amend and
restate the Articles of Incorporation and to amend and restate the
Bylaws of UHPA taken at the Annual Membership meeting were reported.  Active
UHPA members were given the option to cast their vote by way of proxy
or to complete a written ballot at the annual meeting.  UHPA received 395 proxy votes and 1 written ballot vote.  Of
these, 364 or 92.15% voted in favor of the resolutions (included blank
votes), 31 or 7.85% voted against the resolution (included any
abstentions), and there was 1 spoiled ballot.  The
Resolutions on the Amended and Restated Articles of Incorporation and
the Amended and Restated Bylaws of UHPA were declared approved.  They
would become effective upon the filing of Articles of Amendment with
the State of Hawaii Department of Commerce and Consumer Affairs.



As a result of the Resolutions that passed at the Annual
Membership meeting, the election of officers and approval of membership
of the Executive Committee needed to be acted upon by the Board.  President
Chernisky conducted the nominations and elections process since new
committees and charters for those committees had not yet been confirmed
by the Board.  Additionally, there would not be an
election for the Office of President since President Chernisky was
still serving his initial two-year term.  Lengthy
discussion ensued on the procedures for the election of officers,
specifically to vote by a show of hands versus voting by secret ballot.  Directors passed a motion to
approve the recommended nominations and elections procedure with
amendments to vote by secret ballot and that the nominees may remain
present during the discussion

The following officers were elected by the Board of Directors.  Their terms begin immediately and they serve for one year or until their successors are elected.

The Board of Directors elected J. N. Musto, UHPA Executive Director, as an officer of UHPA.  According
to the Bylaws, his term is for five years without limitation on the
number of terms and he serves as an ex officio member on the Executive
Committee and Board of Directors without vote.

To serve on the Executive Committee, the President, Vice
President, Secretary, and Treasurer needed to be elected by the Board
of Directors.  Since the Executive Committee consists of
seven Directors elected annually from among the Board Directors, three
at-large positions needed to be filled.  As a result of these elections, the UHPA Executive Committee members for 2008-2009 are:

Due to the increase in travel costs, a motion was made to
give exception to the current NEA Representative Assembly delegate
stipend policy, which would allow six additional people to be able to
receive up to the $800 stipend pursuant to the stipulations of the
policy should they attend the NEA RA meeting in Washington, DC
.  Discussion
indicated that this issue was after the fact and it would not be fair
for those who may have considered being a delegate.  The motion did not pass.



President Joseph Chernisky referred Directors to his annual report, which may be viewed online at



Associate Executive Director Jim Kardash informed Directors
that included on the agenda for the October 25, 2008 Faculty Forum will
be representatives from the Employees’ Retirement System (ERS) and the
2010 Constitutional Convention will be a topic for discussion.



Executive Director and Chief Negotiator J. N. Musto informed
Directors that formal negotiations for Bargaining Unit 7 will be held
on Friday, May 23, 2008.  He offered UHPA as a place to meet.  UH
President McClain has informed him that all communications regarding
collective bargaining should be directed to Vice President Sam Callejo.



Directors reviewed the proposal and then unanimously passed a motion to approve the “Charge to Chief Negotiator” dated May 10, 2008.



In their review of the proposed Charter for the CBC, Directors
approved an amendment to paragraph two, Appointment and Term of the
Committee.  Directors passed the motion to approve the Charter for the Collective Bargaining Committee dated May 10, 2008 as amended.  To view the CBC Charter, go to



Directors passed the motion to confirm the appointment of Karla Hayashi (UH-Hilo) as the Chair of the Collective Bargaining Committee.

Directors unanimously passed the motion to confirm the appointments of Joshua Cooper (Maui CC), James De Ste Croix (Leeward CC), David Duffy (UH-Manoa), Earl Hishinuma (UH-Manoa), Richard Morris (UH-Hilo), Richard Nettell (UH-Manoa), Derek Oshiro (Honolulu CC), Mark Rognstad (UH-Manoa), Sharon Rowe (Kapiolani CC), Glenn Teves (UH-Manoa), and James Tiles (UH-Manoa) as members of the Collective Bargaining Committee.


Directors met in Executive Session for about one and one-half hours on the matter of negotiations.  Directors passed a motion to approve the action taken during Executive Session.



Directors unanimously passed a motion to have the next Board of Directors meeting on Saturday, June 7, 2008.


Negotiations Resumed on May 23rd

At its April 2008 meeting, the UHPA Board of Directors
authorized the submission of proposed changes to the collective
bargaining agreement which expires June 30, 2009. The State will
be represented by its Chief Negotiator, Marie Laderta, and the UH
spokesperson will be
 Sam Callejo, UH System
VP for Administration.  The UHPA Directors appointed Executive Director
J. N. Musto as the union’s Chief Negotiator. 

The proposal is lengthy and wide-ranging; reflecting the
knowledge and experience captured during a remarkable six year period.
It seeks to address areas where the contract was less effective;
resolve new issues that have arisen; and identify a different way to
approach salary.

There have been hours spent by the Collective Bargaining Committee
evaluating the current agreement, soliciting suggestions for change
from the membership, and determining the best course of action to meet
the needs of the bargaining unit.

In light of the economic, political, and academic climate a decision was made to seek a two-year contract.
